required\nto verify the accuracy or compliance of the documents and information provided\nby the Principal, unless a specific service is expressly agreed.<o:p><\/o:p><\/span><\/p><p style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">The goods must be\npackaged so as to withstand normal handling, storage and transport lang=\"EN-US\">If an unforeseeable\nchange of circumstances makes the performance of a service excessively onerous\nfor LOGVAD, and LOGVAD had not agreed to assume that risk, the parties\nundertake to renegotiate the conditions concerned in good faith.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">During the renegotiation\nperiod, LOGVAD may take the measures necessary to limit its financial exposure.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">Failing agreement within\na reasonable time, either party may terminate the service concerned, subject to\nthe applicable contractual conditions.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-top:13.0pt;margin-right:0cm;margin-bottom:\n4.5pt;margin-left:0cm;page-break-after:avoid\"><b><span class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">An invoice may be\nsubject to adjustment where elements necessary for its determination become\nknown only after its issuance.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-top:13.0pt;margin-right:0cm;margin-bottom:\n4.5pt;margin-left:0cm;page-break-after:avoid\"><b><span lang=\"EN-US\" style=\"color:black;mso-ansi-language:EN-US\">ARTICLE 18 \u2014 DISPUTING INVOICES<\/span><\/b><span lang=\"EN-US\"><o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">Any dispute of an\ninvoice must be raised in writing within a maximum of <b>6 weeks<\/b> from its\ndate of issuance.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">The dispute must be\nsubstantiated and accompanied by the\nservices.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">LOGVAD may also require\nadvance payment for future services or the provision of additional guarantees.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">The costs resulting from\nthe suspension of the services may be invoiced to the Principal.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-top:13.0pt;margin-right:0cm;margin-bottom:\n4.5pt;margin-left:0cm;page-break-after:avoid\"><b><span lang=\"EN-US\" style=\"color:black;mso-ansi-language:EN-US\">ARTICLE 20 \u2014 RIGHT OF RETENTION AND\nGUARANTEES<\/span><\/b><span lang=\"EN-US\"><o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">LOGVAD benefits, under\nthe conditions provided for by the applicable regulations, from a right of\nretention (lien) over the goods, documents, property and valuables held on\nbehalf of the Principal, in order to secure payment of the sums owed to it.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">This right may notably\nbe exercised in the event of non-payment or of exceeding the credit terms\ngranted.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">The Principal remains\nliable to pay all sums due regardless of any exercise of the right of\nretention.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-top:13.0pt;margin-right:0cm;margin-bottom:\n4.5pt;margin-left:0cm;page-break-after:avoid\"><b><span lang=\"EN-US\" style=\"color:black;mso-ansi-language:EN-US\">ARTICLE 21 \u2014 LIABILITY FOR\nSUBSTITUTES<\/span><\/b><span lang=\"EN-US\"><o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">LOGVAD is authorised to\nuse any Carrier, subcontractor, warehouse keeper or provider.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">Where the liability of a\nSubstitute is engaged, LOGVAD\u2019s liability is limited to that incurred by the\nrelevant Substitute.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">Any compensation payable\nby LOGVAD may not exceed the amount actually recovered, or capable of being\nrecovered, from the Substitute, within the limits of the applicable legal,\nregulatory or contractual provisions.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">Where these limitations\nare not known or do not result from mandatory provisions, the limitations of\nArticle 23 apply.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-top:13.0pt;margin-right:0cm;margin-bottom:\n4.5pt;margin-left:0cm;page-break-after:avoid\"><b><span lang=\"EN-US\" style=\"color:black;mso-ansi-language:EN-US\">ARTICLE 22 \u2014 LOGVAD\u2019S PERSONAL\nLIABILITY<\/span><\/b><span lang=\"EN-US\"><o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">LOGVAD\u2019s liability may\nbe engaged only in the event of demonstrated fault.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">Only direct, material,\ncertain and substantiated damage may be compensated.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">LOGVAD may not be held\nliable for indirect or immaterial damage, notably:<o:p><\/o:p><\/span><\/p><p class=\"MsoListParagraph\" AND DAMAGE<\/span><\/b><span lang=\"EN-US\"><o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">Unless mandatory legal\nprovisions provide otherwise, the compensation owed by LOGVAD in the event of\nloss or damage attributable to its personal liability is limited to:<o:p><\/o:p><\/span><\/p><p style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">It is notably\nresponsible for insuring, depending on the nature of the goods, the risks\nrelated lang=\"EN-US\">Any claim must be\naccompanied by the supporting documents enabling its merits to be assessed.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">The Principal must\ninform LOGVAD as soon as possible of any claim liable to engage its style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">The Principal is\nresponsible for the accuracy of the data transmitted via the IT systems.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">LOGVAD does not\nguarantee the absence of interruption style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">The Principal warrants\nthat it holds the rights and authorisations necessary for the processing and\ntransmission of the data entrusted to LOGVAD.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">The parties style=\"color:black;mso-ansi-language:EN-US\">ARTICLE 32 \u2014 TERM AND RENEWAL<\/span><\/b><span lang=\"EN-US\"><o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">Unless otherwise\nstipulated, contracts concluded for a fixed term are renewed in accordance with\nthe conditions set out in the particular conditions.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">For contracts lang=\"EN-US\" style=\"color:black;mso-ansi-language:EN-US\">ARTICLE 34 \u2014 EXIT FROM CONTRACT AND\nRETURN OF STOCK<\/span><\/b><span lang=\"EN-US\"><o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">Upon termination of the\ncontract, the Principal must arrange for the removal of all its goods within\nthe time agreed with LOGVAD.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">The preparation,\ninventory, handling, packing and dispatch operations required to return the\nstock may be invoiced.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">Goods remaining on\nLOGVAD\u2019s premises after the contract end date may continue to generate storage\nand handling costs.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">In the event of\nprolonged non-removal, LOGVAD may give the Principal formal notice to carry out\nthe removal.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">Failing remedy, LOGVAD\nmay exercise the rights conferred on it by law, notably its right of retention\nand, where the legal conditions are met, proceed with the disposal of the goods\nin order to recover the sums due.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-top:13.0pt;margin-right:0cm;margin-bottom:\n4.5pt;margin-left:0cm;page-break-after:avoid\"><b><span lang=\"EN-US\" style=\"color:black;mso-ansi-language:EN-US\">ARTICLE 35 \u2014 LIMITATION PERIOD<\/span><\/b><span lang=\"EN-US\"><o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">Unless mandatory legal\nprovisions provide otherwise, any action or claim relating to the services\nperformed by LOGVAD must be brought within a period of <b>one year<\/b> from the\ndate of the event giving rise to the claim.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-bottom:8.0pt;text-align:justify;line-height:\n115%\"><span lang=\"EN-US\">For transport\noperations, the period runs in accordance with the mandatory provisions\napplicable to the transport concerned.<o:p><\/o:p><\/span><\/p><p class=\"MsoNormal\" style=\"margin-top:13.0pt;margin-right:0cm;margin-bottom:\n4.5pt;margin-left:0cm;page-break-after:avoid\"><b><span lang=\"EN-US\"
